Terms of use - TOSCA Toolbox

The present terms of use constitute an agreement between ORANGE and any legal person registered as a TOSCA Toolbox user and govern access to, and use of the TOSCA Toolbox. By registering you accept to be bound and to comply with the conditions of the Terms of Use including all legal obligations imposed on you.

You hereby declare that you are legally entitled to act on behalf of your organization and/or company for the purposes hereof and agree to abide by all terms and conditions herein as may be applicable to you, so that said organization and/or company may always comply with the present terms of use.

1. Definitions

The following capitalized words and phrases will have the meanings given below in this Clause 1 (Definitions).

“Inria”
means the French national public research institute for digital science and technology (Inria Domaine de Voluceau Rocquencourt - B.P. 105 78153 Le Chesnay Cedex – France).
“Orange Resource”
means the Tosca Toolbox Portal, the TOSCA Toolbox, and User Personal Space.
"Party, Parties"
means Orange and User.
"Terms Of Use"
means the present general terms governing access to, and use of the Orange Resource by Users.
“TOSCA”
(Topology and Orchestration Specification for Cloud Applications) is an OASIS open standard that defines the interoperable description of services and applications hosted on the cloud and elsewhere, including their components, relationships, dependencies, requirements, and capabilities.
“TOSCA Descriptors”
are TOSCA-compliant templates describing a topology of cloud-based components and their relationships, that Users may elect to upload to their User Personal Space.
"TOSCA Toolbox"
means a set of tools for validating, visualizing and analyzing TOSCA Descriptors. These tools have been developed by Inria for Orange in the framework of a commissioned research agreement. To use them, you will need an identification on the orange.fr portal. If you don't have one, it is possible to create one quickly (here) even with an email address other than those of orange.
“TOSCA Toolbox Portal”
means the https://toscatoolbox.orange.com/ website.
"Users"
means any legal person (organization or company), including any employee or other representative of the said legal person, registered as user of the TOSCA Toolbox. Users are bound by the Terms of Use. Users may register with status of guests.
“User’s Personal Project”
means any and all materials and contents uploaded, created or instantiated by User within Its User Personal Space, including TOSCA Descriptors and results of User’s validation and processing as may be stored there by User.
“User Personal Space”
is a User-dedicated private and separate storage region of the Orange resource, reserved for use and access by User solely (except as expressly set forth hereafter where it is provided that Orange and Inria may access information in any User’s Personal Space for research and improvement of the TOSCA Toolbox).

2. Use of the Orange Resource

Orange is not responsible and offers no guarantee for the quality, fitness for purpose, continued availability, or capabilities of any functions in the Orange Resource.

(a) TOSCA Toolbox.

Users may use the TOSCA Toolbox for validating, visualizing and analyzing TOSCA Descriptors, subject to all terms and conditions herein.

(b) User Personal space.

Users are responsible for maintaining the security of own data in User Personal Space and for making back-ups of any important electronic data. It is recommended that Users keep at least two back-up copies of their Personal Project essential data, for example, besides the original, local copy on User’s Personal space, and external copy (remotely by User’s own storage means), and have a policy for maintaining regular back-ups.

(c) Security requirements.

3. Intellectual Property Ownership and use

(a) Ownership.

All title to, and ownership of, the TOSCA Toolbox, remain with Orange and its licensors or suppliers.
All title to, and ownership of, each User’s Personal Project will remain the property of the concerned User.

(b) Access to User’s Personal Projects

Orange and Inria may access any User’s Personal Project and use any information gathered from observation of The aim for Orange and Inria is to improve the TOSCA Toolbox. Orange may at any time terminate any User’s utilization of the Orange Resource if the data in the User’s Personal Project is found to be deliberately partial, obfuscated or unreachable.

4. Consideration

The TOSCA Toolbox is intended for collaborative use and the Parties’ expectation is that the present agreement will achieve balanced mutual benefits for both Parties.

5. Limitations, Suspension and Termination

(a) Termination by User.

User may discontinue its participation under the present Terms Of Use by written notice to Orange.

(b) Limitations and suspension by Orange.

Orange may at all times suspend or otherwise terminate the operation of the TOSCA Toolbox when such action is necessary to protect from damages or injury of any kind the Users or Orange’s facilities, services or interests. Where practicable in the reasonable judgment of Orange, Orange will notify Users promptly of any suspension of the TOSCA Toolbox service.

(c) Termination by Orange. Orange may also terminate User’s participation if User defaults in fulfilling any of its obligations under the Terms Of Use, and such default is not cured within thirty (30) days after notice from Orange specifying the nature of the default.

6. Miscellaneous

(a) The Terms of Use shall not constitute or imply any partnership, joint venture, agency or fiduciary relationship between the Parties. Neither Party shall make or hold itself out as having authority to make any commitments on behalf of the other Party. Each Party shall be responsible, liable and accountable solely for its own obligations under the Terms of Use. This agreement does not create any obligation for either Party to enter into any further contractual arrangement of any kind.

(b) If one or more of the provisions contained in the Terms of Use are found by a competent court or authority to be invalid, illegal, or unenforceable in any respect under any applicable law or regulation, the validity, legality, and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired, provided that in such case the Parties shall use all commercially reasonable efforts to achieve the purpose of the invalid provision by a new legally valid stipulation to the same (or substantially similar) purpose and effect.

(c) In no event shall any delay, neglect or forbearance on the part of any Party in enforcing (in whole or in part) any provision of the Terms of Use be, or be deemed to be a waiver thereof or a waiver of any other provision or shall in anyway prejudice any right of that Party under the Terms of Use.

(d) The Terms of Use shall be governed by and construed in accordance with the laws of France, without reference to any conflict of laws provisions.

(e) All disputes or differences between the Parties arising out or in connection with the Terms of Use which the Parties cannot settle amicably shall be finally submitted to the exclusive jurisdiction of the French courts of Paris, France.
